Matthew Kepke has spent over ten years serving as General Counsel and providing advisory services for several companies throughout the United States. As a member of the Executive Management Team of each company, he has been responsible for management and oversight of all legal aspects privately and publicly-held businesses in a number of industries.
Matthew has daily and continuous interaction with senior management, including the CEO, CFO, CCO and COO, and the Board of Directors on the evaluation and oversight of all aspects of the business, including operations, human resources, investment management, litigation management and commercial contracts.
Previously, Matthew spent seven years in the corporate and securities practice groups of two New York law firms.
During this time, Matthew represented companies located in the U.S., Australia, China, Hong Kong and throughout Europe.
He provided legal analysis and support for all aspects of corporate transactions, including initial public offerings, Alternative Public Offerings, reverse mergers, SPACs, PIPEs and debt and equity offerings, both registered under the Securities Act of 1933 and exempt from registration. He prepared and reviewed Securities Exchange Act of 1934 filings including periodic, quarterly and annual reports. He also advised foreign private issuers relating to public company filings, including preparation of registration statements and reports, as well as marketplace rules regarding home country practice for foreign private issuers. Advised clients on Sarbanes-Oxley compliance and general corporate governance matters, including marketplace and foreign exchange compliance rules, as well as compliance under the federal and state securities laws.
